Acceptance of terms
By accessing the Datoryx website or platform, you agree to these Terms & Conditions. If you are using the platform on behalf of a company, you confirm that you have the authority to bind that company to these terms.
Description of service
Datoryx provides a software platform for cloud infrastructure monitoring, data analytics, and workflow automation, delivered under a separate order form or service agreement between Datoryx and each customer. These Terms & Conditions apply to the website generally; specific commercial terms, including subscription fees and service levels, are set out in that agreement.
Accounts and access
You are responsible for maintaining the confidentiality of account credentials and for all activity under your account. Notify us promptly of any unauthorized use. Access is granted on a named-user, role-based basis in accordance with your service agreement.
Acceptable use
You agree not to use the platform to violate any law, infringe intellectual property rights, transmit malicious code, attempt unauthorized access to any system, or interfere with the platform's normal operation. We may suspend access for activity that violates this section.
Fees and billing
Subscription fees, billing frequency, and payment terms are set out in your service agreement or order form. Fees are non-refundable except as expressly stated in that agreement or as required by law.
Intellectual property
The Datoryx platform, including its software, design, and documentation, is the property of Datoryx Technologies Inc. and its licensors. Customers retain ownership of the data they submit to the platform. No rights are granted except those expressly set out in these terms or a service agreement.
Confidentiality
Each party agrees to protect the other's confidential information with the same degree of care it uses for its own confidential information, and not to disclose it except as necessary to perform under a service agreement or as required by law.
Disclaimer of warranties
The website and platform are provided on an "as is" and "as available" basis. Except as expressly stated in a service agreement, Datoryx makes no warranties, express or implied, regarding uninterrupted or error-free operation, and disclaims implied warranties of merchantability and fitness for a particular purpose to the extent permitted by law.
Limitation of liability
To the maximum extent permitted by law, Datoryx will not be liable for indirect, incidental, special, or consequential damages arising from use of the website or platform. Our aggregate liability under a service agreement is limited as set out in that agreement.
Termination
We may suspend or terminate access to the platform for material breach of these terms or a service agreement, subject to any notice and cure period set out in that agreement. Termination provisions specific to your subscription are governed by your service agreement.
Governing law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes will be subject to the exclusive jurisdiction of the courts located in Toronto, Ontario.
Changes to these terms
We may update these Terms & Conditions from time to time. Material changes will be posted on this page with a revised effective date. Continued use of the website after changes take effect constitutes acceptance of the revised terms.
